About Colleen

With more than 17 years in practice as a tax "deal lawyer," Colleen Laduzinski has developed deep experience solving complex tax issues related to distressed transactions, bankruptcies, and restructurings, as well as capital markets and financing transactions. She also advises on M&A transactions, private equity deals, and litigation settlements.

In the past three years, Colleen acted as debtors' bankruptcy tax counsel in four substantial chapter 11 cases — Alpha Natural Resources, American Apparel, Molycorp, and Peabody Energy, two of which involved significant cross-border tax issues — while advising creditors and trustees in several other cases. In that same period, she advised on more than 130 publicly announced deals, including stock and bond offerings for underwriters Jefferies LLC and KeyBank and issuers Newell Brands and Starbucks; financing transactions and securitizations for borrowers Diebold and Sprint and for lenders Citizens Bank and Wells Fargo; private equity deals for J.F. Lehman; and M&A deals for PHH Corporation.

A career highlight was advising on Chrysler's chapter 11 case.

Significant publications include "Corporate Bankruptcy," Tax Mgmt.(Bloomberg BNA), No. 790-2d; "Corporate Bankruptcy — Special Topics," Tax Mgmt. (Bloomberg BNA), No. 791; and "Tax Aspects of Restructuring Financially Troubled Businesses," Tax Mgmt. (Bloomberg BNA), No. 541-5th. Colleen is honored to serve as Practice Leader for Jones Day's New Lawyers Group, leading junior lawyers as they develop and decide upon the best practice for their careers.
