About Jon
Jon Hughes is a Partner at Montgomery McCracken Walker & Rhoads LLP. Mr. Hughes specializes in the areas of corporate finance and mergers & acquisitions. He regularly counsels clients on debt and equity financing; angel, venture capital and private equity investments; acquisition and divestiture of assets; and general corporate matters. He has served as underwriters’ counsel in several significant transactions, and he has experience with exempt securities offerings and in the preparation and review of disclosure and other periodic filings required as part of ongoing compliance with securities laws and regulations.
In addition, Mr. Hughes focusses a portion of practice on executive compensation and he has extensive experience drafting a multitude of non-qualified benefit plans, including omnibus equity plans, phantom equity plans and acquisition event bonus plans. Mr. Hughes has also represented collectively bargained defined benefit plans, defined contribution plans and health and health and welfare plans.
Mr. Hughes has volunteered both with the Drexel University School of Law Business and Entrepreneurship Program and the University of Pennsylvania Law School Entrepreneurship Legal Clinic. In addition to practicing in the area, Mr. Hughes has authored a chapter on trends in private equity and venture capital, and he has lectured on similar topics. Mr. Hughes is an adjunct professor at the University of Pennsylvania Law School where he teaches Transactional Drafting.
